Before we begin a complex quote, we agree how we will work together. Here is what that means for you.
You do not need to have every answer before saying hello. We will talk through the brief, explain the appointment and give you the opportunity to ask questions before signing.

Why do I need an engagement letter for a complex quote?
A complex quote can involve understanding your business, reviewing contracts, working through cover requirements and approaching specialist insurers. The letter gives that work a clear brief and confirms that UpSure is the broker you have chosen for it.
It also sets out our responsibilities, what we need from you, the appointment period and how we are paid. It is part of UpSure's process for complex quotes, so both sides know what they are agreeing to before detailed work begins.
Do I need one for Instant Quote?
No. This engagement letter is not required for the Instant Quote pathway. Eligible businesses can continue through the online questions, quote and bind process, subject to the platform's eligibility requirements, disclosures and policy terms.
If your enquiry needs to move into a complex, broker-led quote, we will explain the next steps and the engagement letter before starting that work.
What am I appointing UpSure to do?
You appoint UpSure as your sole and exclusive broker for the classes of cover and risks specified in your letter during the agreed Engagement Period. Our role is to advise on and arrange that insurance.
Check the named client, cover to be reviewed, period and fees before signing. If something is missing or the scope is wider than you intended, ask us to clarify it first. The appointment does not automatically extend to unrelated policies.
Why does the appointment need to be exclusive?
Specialist brokers often approach overlapping insurance markets. Multiple approaches for the same risk can create duplicate submissions, conflicting information and complications with obtaining terms. One coordinated submission gives insurers a consistent picture of your business.
During the appointment, the letter asks you not to approach other brokers or insurers for the same risks, and to refer any contact about those risks to us. This gives us the opportunity to complete the work you have appointed us to do. It does not require you to accept a quote.
How long does the appointment last?
The Engagement Period is set out in the Key terms of your personalised letter. Read the full wording, including how it relates to the date cover is placed and in force, rather than assuming it ends after a particular number of days.
The appointment lapses when that period ends unless we agree in writing to continue. The initial 14-day period and the early-release process are explained below.
What if I decide to go another way?
The first 14 days are firm, with no release from exclusivity during that time. This gives us time to assess the risk and approach the market.
After those first 14 days, if you decide to arrange cover through another means, you can end the appointment by written notice. The letter provides for release within 5 business days. Any agreed fee for work already completed remains payable.
Please discuss any concerns with us before signing, particularly if another broker is already working on the same risks or you have a deadline that affects the appointment.
Will I be charged for asking questions or getting started?
Simply asking us for information or quotes does not create a payment obligation or commitment. Signing an engagement letter is a separate step, so check the agreed fees and when they become payable before you sign.

If you end an appointment early, an agreed fee for work already completed may still be payable. Ask us to explain what would apply to your engagement before you commit. There should be no need to guess.
Does signing mean I have to buy a policy, or that I am insured?
No. You decide whether to accept the cover we recommend. The appointment and any agreed fees still apply, but signing the letter is not an instruction to buy insurance.
For this broker-led pathway, we only bind cover after clear written instructions from you, or someone you have authorised, to accept a specific quote. A request for a quote, advice or a review is not enough.
Cover does not start until we confirm in writing that it has been bound. Quotes remain subject to the insurer's terms and the validity period shown on them.
What happens after we agree to work together?
- Understand the business. We talk through your activities and requirements and gather the proposal information.
- Put recommendations in writing. We explain the suggested cover, limits, key exclusions and extensions, and any activities that need to be declared.
- Obtain quotes. We approach insurers for the agreed risks and explain the options.
- You decide. You review the terms and give us written instructions if you want to proceed.
What information should I have ready?
A short introduction is enough to start the conversation. For the detailed review, we will need:
- A completed proposal form.
- Your actual and forecast annual revenue.
- The services you provide and any planned changes.
- Your standard client contracts and terms.
- How you handle client data and which systems you use.
- Details of existing or previous policies, claims and incidents.
Until we have the required information and have discussed your circumstances, our initial comments are general advice only. Accurate, complete information helps us make relevant recommendations. Tell us promptly if anything changes or if you are unsure how to answer a question.
How quickly will I receive recommendations and quotes?
Your letter sets out the expected turnaround. The timing for our written recommendations starts once we have complete information, and insurer quote timing depends on the risk and the insurers involved.
Tell us about renewal dates, customer deadlines or other time pressures upfront. We will keep you updated if anything is running behind the timings in your letter. Signing the letter does not guarantee a quote or immediate cover.
What if I already have a broker or an existing policy?
Let us know before signing, including any insurers already approached for the same risks. We can discuss the scope and timing so the appointment is clear.
If you want us to comment on existing cover, please provide the full policy wording and schedule. We cannot confirm what an unseen policy covers. The scope of any review should be agreed with us; sending a policy alone does not appoint us or start cover.
What if our business changes while you are working on the quote?
Please tell us before starting new activities, particularly new services, software products, handling client data or accessing client systems. Our recommendations and any cover arranged relate to the activities disclosed to us. Changes may need to be declared to an insurer or require a different approach to cover.
Can I use AI to help prepare my enquiry?
Yes, it can help organise your thoughts. Please check the facts and keep the message focused on your own business, priorities and questions. A short email or a conversation is usually more useful than a long generated questionnaire.

How do you handle my information, and what if I have a concern?
We handle personal information under our Privacy Policy. Please raise questions or concerns with your UpSure contact first. Our complaints page explains the resolution process and how to contact the Australian Financial Complaints Authority if a complaint remains unresolved.
What should I check before signing?
Read your personalised engagement letter and the accompanying Financial Services Guide. Check the correct client entity, the insurance classes being reviewed, the Engagement Period, exclusivity, fees and expected turnaround.
The person signing should be authorised to act for the client. If anything is unclear, ask us before signing and returning the letter. This page is a plain-English explanation, not a substitute for the terms of your actual letter.
